第七十七條 營利法人經依法登記成立。

Article 77 A for-profit juridical person is formed upon registration in accordance with the law.

第七十八條 依法設立的營利法人，由登記機關發給營利法人營業執照。營業執照簽發日期為營利法人的成立日期。

Article 78 A legally formed for-profit juridical person shall be granteda business licenseby the registration authorities. The date of issuance of the business license shall be the date of formation of that for-profit juridical person.

第七十九條 設立營利法人應當依法制定法人章程。

Article 79 For the formation of a for-profit juridical person, the articles of association of that juridical person shall be formulated in accordance with the law.

第八十條 營利法人應當設權力機構。

Article 80 A for-profit juridical person shall set up itssupreme organ.

權力機構行使修改法人章程，選舉或者更換執行機構、監督機構成員，以及法人章程規定的其他職權。

The supreme organ has the power to amend the articles of association of the juridical person, the power to elect or change the members of the executive organ and the supervisory organ, and other powers prescribed in the articles of association.

註：

（1）「營利法人營業執照」找不到好的譯法，故直接簡略為「營業執照」，不影響條文意思。

（2）「權力機構」之前譯為decision-making organ，但董事會其實也有決策權，因此不宜將股東會稱為decision-making organ。此次翻譯為the supreme organ，在比較法上有成例（See Dornseifer, F. (2005) Corporate Business Forms in Europe: A Compendium of Public and Private Limited Companies in Europe. Sweet & Maxwell, p.303）。相應地，執行機構即為th executive organ。
