第一章總則
Chapter I General Provisions
第一條為積極推動亞太郵輪港口服務標準化建立的進程，致力於亞太郵輪港口服務標準化建立的研究、制定、應用和服務，積極推動亞太郵輪產業健康、高效、持續性發展。根據相關法律、法規的規定，制定本章程。
Article 1 This Charter is developed to actively promote the process of Asia-Pacific cruise-port service standardization and committed to the research, development, application and services of Asia-Pacific cruise-port service standardization establishment and vigorously enhance the healthy, efficient and sustainable development of Asia-Pacific cruise industry according to relevant laws and regulations.
第二條聯盟中文名稱：亞太郵輪港口服務標準化聯盟，英文名稱：Asia-Pacific Cruise-port Service Standardization Alliance（以下簡稱聯盟）。
Article 2 Chinese Name of the Alliance:亞太郵輪港口服務標準化聯盟, English Name: Asia-Pacific Cruise-port Service Standardization Alliance (hereafter referred to as the Alliance).
第三條聯盟的宗旨：以不斷提高企業核心競爭力為根本目標，整合業內資源和社會資源，建立國際一流的亞太郵輪港口服務標準化體系，促進亞太郵輪產業健康快速發展。
Article 3 Purpose of the Alliance: with continuously improving the core competitiveness of the enterprises as the fundamental goal, it will integrate the industry resources and social resources and establish a world-class Asia-Pacific cruise-port service standardization system to facilitate the healthy and rapid development of Asia-Pacific cruise industry.
第四條聯盟嚴格遵守相關國際法律，符合聯盟港口所在國的標準化法和其他有關規定。
Article 4 The Alliance will be in strict compliance with relevant international laws and conforms to the Standardization Law and other relevant provisions of the country.
第五條聯盟發起單位是：上海吳淞口國際郵輪港發展有限公司
Article 5 The Sponsor of the Alliance is: Shanghai Wusongkou International Cruise Port Development Company Limited.
第二章任務
Chapter II Tasks
第六條聯盟緊緊圍繞郵輪旅遊領域標準化的發展，以促進成員間資源共享和互惠互利為基本原則，推動政府制定有利於郵輪旅遊領域標準化發展的重大方針、政策，提升成員的群體競爭力。
Article 6 Focusing on the development of standardization in the field of cruise tourism with advancing the sharing of resources and mutual benefit among the members, the Alliance strives to push the government to formulate major guidelines and policies conducive to the development of the standardization in the field of cruise tourism and improve the group competitiveness of the members.
（一）協調聯盟成員之間的關係，使成員對郵輪旅遊領域標準化形成共識；
1) Coordinate the relationships among the members and reach a consensus in the standardization in the field of cruise tourism;
（二）積極採用國際標準和國外先進標準；
2) Actively adopt international standards and foreign advanced standards;
（三）積極推動郵輪旅遊領域聯盟標準的研究、制定和推廣；
3) Vigorously accelerate the research, development and promotion of the standardization in the field of cruise tourism;
（四）積極探索和爭取將郵輪港服務標準提升為國際標準；
4) Energetically explore and strive to upgrade the cruise port service standards to international standards;
（五）成為聯盟成員之間信息共享、培訓、交流、合作的平台，促進聯盟內資源的有效利用；
5) Become a platform for information sharing, training, communication and cooperation among the members and promote the effective use of resources within the Alliance;
（六）維護聯盟成員的合法權益，促進聯盟成員與消費者良好關係的發展，協助聯盟成員解決標準化建設過程中遇到的問題；
6) Safeguard the legitimate rights and interests of the members, promote the good relationship between the members and consumers and assist the members to solve the problems occurred in the standardization process;
（七）協調、發展與國內外其他標準化組織、產業聯盟等相關機構的聯繫，開展多種形式的學習交流活動。
7) Coordinate and develop the links with other standardization organizations, industry alliances and other relevant organizations at home and abroad and carry out various forms of learning and exchange activities.
第三章聯盟成員
Chapter III Members of the Alliance
第七條聯盟是一個開放的組織，歡迎如下單位自願申請成為聯盟成員：亞太郵輪港口、郵輪旅遊產業鏈相關企業，郵輪旅遊領域相關的技術機構、管理服務機構、高校、科研院所以及其他團體。
Article 7 The Alliance is an open organization and the following units are welcome to apply for membership: Asia-Pacific Cruise-port, Cruise Tourism Industry Chain-related enterprises as well as cruise tourism-related technical institutions, management service organizations, universities, research institutes and other groups.
第八條申請單位經資格審查後才能成為聯盟成員。
Article 8 The applicant unit shall be qualified as a member of the Alliance.
第九條任何企業申請加入本聯盟必須具備下列條件：
Article 9 Any enterprise applying to join the Alliance must meet the following conditions:
（一）擁護本聯盟的章程；
1) Support the Charter of the Alliance;
（二）有加入本聯盟的意願；
2) Have the willingness to join the Alliance;
（三）在郵輪旅遊領域或標準化領域具有一定的影響力；
3) Have a certain influence in the field of cruise tourism or standardization;
（四）應持有工商營業執照或其他相關合法證明。
4) Hold a business license or other relevant legal proof.
第十條成為聯盟成員的程序是：
Article 10 The procedure for becoming a member of the Alliance is:
（一）遞交入會申請書；
1) Submit the application for membership;
（二）經聯盟成員推薦加入；
2) Recommended by the members of the Alliance;
（三）由聯盟秘書處審核並辦理具體加入手續；
3) Reviewed by the Alliance Secretariat and handled the specific procedure;
（四）由秘書處發放成員證書。
4) Obtain the membership certificate issued by the Secretariat.
第十一條聯盟成員的權利：
Article 11 Rights of the Members:
（一）參加聯盟成員大會，參加討論或表決本章程規定的事務；
1) Participate in the meetings of the members and participate in the discussion or voting the affairs prescribed in the Charter;
（二）提議或建議聯盟標準的制定和修訂
2) Propose or recommend the development and revision of the standards of the Alliance;
（三）介紹和推薦新成員；
3) Introduce and recommend new members;
（四）查詢、監督聯盟財務收支情況；
4) Inquire about and supervise the financial revenue and expenditure of the Alliance;
（五）享用聯盟的各類資源的權利，如聯盟標準、聯盟標誌（LOGO）使用權
5) Enjoy various resources of the Alliance, such as the right to use the Alliance Standards and Alliance Logo (LOGO);
（六）參加聯盟定期和不定期舉行的信息溝通與技術交流、培訓等活動。
6) Participate in the regular and irregular information communication and technical exchanges, training and other activities.
第十二條聯盟成員的義務：
Article 12 Obligations of the Members:
（一）承認並遵守聯盟章程；
1) Recognize and abide by the Charter;
（二）在聯盟標準的研究、制定、應用、推廣等方面進行實質性的資金或技術投入，按照各成員的優勢在產業鏈上協作，積極推動標準化進程，爭取達到國際先進水平；
2) Input substantive financial or technical investment in the research, development, application, promotion, etc. of the standards, coordinate in the industry chain according to the various advantages of the members and actively advance the process of standardization to strive to reach international advanced level;
（三）積極執行聯盟標準；
3) Vigorously implement the standards of the Alliance;
（四）積极參加聯盟組織的活動，執行聯盟的各項決議；
4) Take an active part in the activities organized by the Alliance and implement various resolutions of the Alliance;
（五）維護聯盟合法權益，保護聯盟研究成果，保守聯盟商業秘密；
5) Safeguard the legitimate rights and interests of the Alliance, protect the research results of the Alliance and conserve the trade secrets of the Alliance;
（六）按時交納聯盟成員會費。
6) Pay the membership fee on time.
第四章組織架構
Chapter IV Organizational Structure
第十三條聯盟由全體成員、秘書處、專家委員會、項目工作組組成。
Chapter 12 The Alliance is made of all members, the Secretariat, the Committee of Experts and the Project Working Group.
第十四條秘書處負責日常事務處理，設秘書長1名，根據實際工作需要設立副秘書長及實際工作人員。
Article 14 The Secretariat shall be responsible for handling daily affairs and shall have a Secretary-General and shall establish the Deputy Secretary-General and actual staff based on the needs.
聯盟秘書處職責：
Responsibilities of the Secretariat:
（一）代表聯盟聯繫政府標準化主管部門，按相關政策法律、法規負責組織落實相關工作；
1) Contact the government standardization department on behalf of the Alliance and implement relevant work based on relevant policies, laws and regulations;
（二）負責聯盟全體成員大會、專家委員會、項目工作組會務組織工作；
2) Be responsible for the organization of the meetings of all members, the Committee of Experts and the Project Working Group;
（三）組織落實聯盟成員大會的決議；
3) Organize the implementation of the resolutions of the meetings of members of the Alliance;
（四）編製聯盟年度工作報告和財務預決算報告，提請聯盟全體成員大會審議和通過；
4) Prepare the annual work report and financial final accounts report of the Alliance and submit to the meeting of the members for review and approval;
（五）組織並落實專家委員會的日常工作；
5) Organize the implement the daily work of the Committee of Experts;
（六）督促項目工作組的工作；
6) Urge the work of the Project Working Group;
（七）組織聯盟標準的立項、制定、發布與宣傳等工作，並對標準化的實施進行監督；
7) Organize the standard initiation, formulation, publication and publicity work and supervise the implementation of standardization;
（八）受理入盟申請，對申請單位資格進行初步審查；
8) Handle the application for membership and conduct a preliminary examination of the qualifications of the application units;
（九）依據聯盟章程和有關管理制度，提議除名違規聯盟成員及受理聯盟成員退出聯盟的申請；
9) Propose to remove the members violating the rules and handle the application of withdrawal of the members according to the Charter and relevant management regulations of the Alliance;
（十）組織實施聯盟其他日常工作。
10) Organize the implementation of the Alliance』s other daily work.
第十五條專家委員會是聯盟的技術建議組織，由9名（單數）以上專家組成，主要來自企業技術機構，管理服務機構，高校科研機構等。
Article 15 The Committee of Experts is a technical advising organization of the Alliance composed of more than 9 (singular) experts mainly from enterprise technical institutions, management service institutions, universities and scientific research institutions, etc.
專家委員會的職責是：
The duties of the Committee of Experts:
（一）按照郵輪旅遊領域發展方向進行研究；
1) Conduct research in the direction of development in the field of cruise tourism;
（二）對聯盟成員提出的標準立項建議進行論證；
2) Demonstrate the standard proposal proposed by the members of the Alliance;
（三）對制修訂的聯盟標準送審稿進行認證論證、審核，並提出是否批准發布建議；
3) Demonstrate and review the developed or revised draft of the standards of the Alliance and propose whether or not to approve the promulgation of the proposal;
（四）協助聯盟成員對聯盟標準制定技術開發等過程中遇到的問題進行技術指導；
4) Assist the members of the Alliance in offering technical guidance in the problems occurred in the standard development, technical development, and other processes;
（五）及時跟蹤國際標準、國家標準和行業標準發展動態，指導本聯盟的標準化工作。
5) Track the development dynamics of international standards, national standards and industrial standards timely to guide the standardization of the Alliance.
第十六條項目工作組負責實施批准立項的聯盟標準制修訂工作，項目工作組設組長1名，並根據工作需要設副組長。
Article 16 The Project Working Group shall be responsible for the development and revision of the standards of the Alliance with 1 leader and the deputy leader shall be set based on actual needs.
項目工作組職責是：
The duties of the Project Working Group:
（一）按工作計劃的要求起草立項標準（草稿、徵求意見稿、修改稿、送審批稿等相關聯盟內的立項標準）；
1) Draft the initiation standards (initiation standards such as draft, exposure draft, revised draft, draft for examination and approval within the Alliance) according to the requirements of the work plan;
（二）在立項標準徵求意見稿完成後，應編寫《標準編製說明》及有關資料；
2) Developthe Standard Preparation Statementand relevant information after finishing the exposure draft;
（三）向秘書處遞交立項標準徵求意見稿和《標準編製說明》及有關附件，由秘書處審查後印發聯盟各成員及專家委員會專家徵求意見；
3) Submit the exposure draft,the Standard Preparation Statementand related annexes to the Secretariat and print to seek advice from the members and the Committee of Experts after review of the Secretariat;
（四）對秘書處徵集來的意見進行歸納整理，分析研究，確定取捨，並列出「意見匯總處理表」；
4) Summarize, analyze and study the advice collected by the Secretariat, determine the trade-offs and list 「the Summary of the Advice」;
（五）根據徵集的意見修改立項標準，形成聯盟標準送審稿；對《標準編製說明》及有關附件進行調整；向秘書處遞交聯盟標準送審稿、《標準編製說明》及有關附件，報專家委員會審查。
5) Review the initiation standards according to the advice collected and form the draft for examination and approval; adjustthe Standard Preparation Statementand related annexes; submit the draft for examination and approval,the Standard Preparation Statementand related annexes to the Secretariat for the review of the Committee of Experts.
第五章工作機制
Chapter V Working Mechanism
第十七條聯盟成員大會原則上每年舉行1-2次，由秘書處召集。
Article 17 In principle, the meetings of the members of the Alliance shall be held 1-2 times convened by the Secretariat.
第十八條聯盟標準、標誌的知識產權歸聯盟所有，且管理使用辦法由聯盟成員大會決定。
Article 18 The intellectual property of the standard and logo of the Alliance shall belong to the Alliance and the management and use shall be determined by the meeting of the members of the Alliance.
第十九條聯盟成員退會自由，成員退會應提前30日向秘書處提出書面申請，並交回證書。遞交申請書30日後退出聯盟，聯盟成員退出聯盟後，已交納的會費不予退還，且半年內不得申請重新加入聯盟。
Article 19 Members of the Alliance shall be free to withdraw with written application 30 days in advance to the Secretariat and return the certificate. The member shall withdraw from the Alliance 30 days after submitting the application and the membership fees paid shall not be returned and cannot rejoin the Alliance within half a year.
第二十條出現下列情況，經聯盟成員大會表決通過可解散聯盟：
Article 20 In the following circumstances, the Alliance can be dissolved after voting by the meetings of the members:
（一）聯盟存在與相關國際法律不符；
1) The existence of the Alliance does not match relevant international laws;
（二）聯盟使命完成，無存在必要；
2) There is no need to exist with the mission completed;
（三）因特殊原因，無法繼續有效工作等。
3) It cannot continue to work effectively due to special reasons.
第六章經費管理
Chapter VI Fund Management
第二十一條聯盟活動經費主要來源於以下方面：
Chapter 21 Funds for activities of the Alliance are mainly derived from:
（一）聯盟成員的會費；
1) Membership fees of the members:
（二）聯盟成員提供的其他經費，如項目研發經費，支持運作經費等；
2) Other funds provided by the members, such as project research and development funds, funds for operation, etc.;
（三）在核准業務範圍內開展活動的收入；
3) Income from activities carried out within the approved scope of business;
（四）成果產業化有償使用收入；
4) Income of paid use of results industrialization;
（五）銀行利息；
5) Bank interest;
（六）其他合法收入。
6) Other legal income.
第二十二條聯盟應建立嚴格的財務管理制度，經費由秘書處統一管理，專款專用。
Article 22 The Alliance should establish a strict financial management system and the funds shall be administered by the Secretariat in a unified manner.
第二十三條聯盟的資產管理必須執行聯盟資產管理相關制度，接受聯盟大會的監督，秘書處應編製年度經費預算、決算，並在聯盟大會上向全體成員報告。
Article 23 The asset management of the Alliance must implement relevant asset management system of the Alliance and accept the supervision of the meeting of the Alliance. And the Secretariat shall prepare the annual budget and final accounts and report to all members in the meeting of the Alliance.
第二十四條聯盟的資產受相關國際法律保護，任何單位、個人不得侵佔、私分和挪用。
Article 24 The assets of the Alliance shall be protected by relevant international laws and any unit or individual may not encroach, divide and appropriate.
第二十五條聯盟經費使用範圍：秘書處日常辦公開支，秘書處科技資料採集；召開聯盟大會的支出；聯盟內立項標準的支持；組織專家的評審費用；聯盟及聯盟標準的宣傳、培訓等；其他合理開支。
Article 25 The scope of the funds of the Alliance: daily office expenses of the Secretariat, collecting scientific and technological information; expenditure of holding the meeting of the Alliance; support of the project initiation within the Alliance; evaluation expenses of the experts; publicity, training, etc. of the Alliance and Alliance Standards; and other reasonable expenses.
第七章附則
Article VII Supplementary Provisions
第二十六條本章程由聯盟秘書處負責解釋。
Article 25 The Charter shall be interpreted by the Secretariat of the Alliance.
第二十七條本章程自聯盟成員大會通過之日起生效。
Article 27 The Charter shall enter into force on the date of adoption by the meeting of the members of the Alliance.
